Executive Summary
•JFrog is a high quality software supply chain platform compounding revenue +29% YoY in Q2 2026 (cloud +53%), but at ~90x to 103x NTM P/E and ~19x NTM P/S the market is already paying for flawless execution.
•Security is the core re rating lever: more than 80% of new $1m+ customers attach security and over 40% of new logos land with security, shifting JFrog from point tool to platform and supporting net dollar retention.
•Enterprise cohort momentum is the strongest fundamental signal: $1m+ customers +59% YoY to 97 and $100k+ customers +20% YoY to 1,291, with AI artifact management (agents, MCP, models) opening a new consumption vector.
•Valuation is stretched versus peers and versus DCF, and $45.2m of net insider selling with zero open market buys is a caution flag into the 2026-11-05 Q3 print.

Valuation Analysis
•NTM P/E: ~90x on revised $1.12 consensus, 102.6x on the $0.98 FMP figure
•FY+2 P/E: ~87.5x on $1.15
•NTM P/S: ~19x on $0.65b NTM revenue
•NTM EV/EBIT: ~69x (BF basis)

•DCF (WACC 9.5%, terminal growth 3%, FCF ~$130m growing ~20%): fair value ~$55 to $80, well below the $100.62 spot
•PEG ~5.4x on 16.8% EPS growth: expensive even on a growth adjusted basis
•Sell side consensus PT $109.94, median $112, range $100 to $120 (21 Buy / 3 Hold / 0 Sell)
•UBS raised its PT to $125 from $120
Peers

•DDOG: ~539x TTM P/E, observability and cloud, premium growth multiple
•MDB: ~515x TTM P/E, database and cloud, GAAP loss making
•ESTC: ~29x TTM P/E, search and security, cheaper but slower growth
Key Risks & Catalysts
Risks
•Valuation: ~90x to 103x NTM P/E and ~19x NTM P/S leave no cushion for a growth or margin miss
•Insider selling: $45.2m net sold over 90 days across 43 open market sells and 0 buys, including the CEO and CTO
•13F churn: 364 positions closed and holders down 371 QoQ, with ownership only 3.0% of shares
•Self managed exposure (~47% of the business) raises breach and remediation liability risk, as seen with the OpenAI disclosed Artifactory zero day
•GAAP profitability still negative and SBC heavy, so reported earnings quality is weak
•Competitive pressure from GitLab and cloud native repositories compressing pricing
Catalysts
•Q3 2026 results on 2026-11-05, with cloud consumption and security attach as the swing factors
•Security ARR contribution scaling as more than 80% of the new $1m+ cohort attaches Xray and Advanced Security
•AI artifact management (AI SEC, MCP, agents, models) expanding TAM beyond core DevOps
•Qwak and MLOps traction broadening the ML and AI positioning
•Large enterprise cohort growth (97 customers at $1m+, +59% YoY) supporting net dollar retention
•Cloud migration acceleration as the OpenAI incident drives SaaS adoption over self managed
Investment Thesis
JFrog is a genuinely high quality asset: 77.9% gross margins, a sticky system of record for software artifacts, +29% total growth with cloud +53%, and a security attach motion that is converting it from repository vendor to platform. The enterprise cohort data is the cleanest proof point, with $1m+ customers up 59% YoY and security present in the majority of large deals. AI artifact management, where agents, skills and models become first class supply chain citizens, is a credible incremental TAM and the most differentiated part of the story.
The problem is price. At ~90x to 103x NTM P/E, ~19x NTM P/S and a PEG near 5x, JFrog trades at a large premium to GTLB (~54x forward) and ESTC (~29x trailing) on far from superior growth. The DCF, even on generous assumptions, lands at $55 to $80, so the market is capitalising narrative and multiple expansion rather than near term cash flow. The EV/Rev history implies $118.80 while P/BV history implies $74.41, a wide and unresolved dispersion that itself signals an expensive, sentiment driven name.
Recommendation: Hold, with a 12 month fair value of $105 to $110, broadly in line with the $109.94 consensus and below the $125 UBS bull case. This is consistent with the valuation work above: the DCF and P/BV anchors sit well below spot, while the EV/Rev anchor and consensus sit modestly above it, arguing for neither adding nor shorting at $100.62. I would want either a pullback toward the $75 to $85 zone (where P/BV and DCF converge) or evidence of accelerating security ARR and cloud mix before adding. Into the 2026-11-05 print, the setup is asymmetric to the downside given the multiple and the heavy insider selling, so I would stay on the sidelines and let the Q3 cloud and security data reset the entry point.
